Notice of Minister of Finance Request for Further Consideration

Ontario Securities Commission Rule 56-501 on Restricted Shares

On April 9, 1997 the Commission delivered Rule 56-501 on Restricted Shares (the "Rule") to the Minister of Finance for approval under section 143.3 of theSecurities Act. The Minister of Finance returned the Rule to the Commission for further consideration by the Commission of its jurisdiction to make a rule thatassigns voting rights to securities that are otherwise non-voting through the minority approval provisions contained in Part 3 of the Rule. The Commission ispublishing this notice in accordance with subsection 143.6(b).
