AND
IN THE MATTER OF
EICON TECHNOLOGY CORPORATION
MRRS DECISION DOCUMENT
WHEREAS the local securities regulatory authority or regulator (the "Decision Maker") in each of Quebec,Alberta, Saskatchewan, Ontario, Nova Scotia and Newfoundland (the "Jurisdictions") has received an application fromEicon Technology Corporation (the "Filer") for a decision under the securities legislation of the Jurisdictions (the"Legislation") that the Filer be deemed to have ceased to be a reporting issuer or the equivalent thereof under theLegislation;
AND WHEREAS under the Mutual Reliance Review System for Exemptive Relief Applications (the "System"),the Commission des valeurs mobilières du Québec is the principal regulator for this application;
AND WHEREAS the Filer has represented to the Decision Makers that:
1. The Filer is a corporation constituted under the Canadian Business Corporations Act (the "CBCA"),it is a reporting issuer in each of the Jurisdictions and is not in default of any of the requirements ofthe Legislation;
2. The Filer's head office is located in Montréal, Québec;
3. The authorized capital of the Filer consists of an unlimited number of preferred shares and of commonshares, of which, as of September 30, 2000, 33,932,760 common shares ("Common Shares") and4,196,442 options to purchase Common Shares were issued and outstanding. As of December 15,2000, there were 33,969,760 Common Shares outstanding, all of which were held by i-data CanadaInc. ("i-data");
4. As a result of a take-over bid and the subsequent compulsory acquisition procedures under CBCA,i-data became the sole security holder of the Filer;
5. The Common Shares have been delisted from the Toronto Stock Exchange on November 30, 2000and no securities of the Filer are listed or quoted on any exchange or market;
6. The Filer has no other securities, including debt securities, outstanding other than the common sharesheld by i-data; and
7. The Filer does not intend to seek public financing by way of an offering of its securities.
AND WHEREAS under the System, this MRRS Decision Document evidences the decision of each DecisionMaker (collectively, the "Decision");
AND WHEREAS each of the Decision Makers is satisfied that the test contained in the Legislation that providesthe Decision Maker with the jurisdiction to make the Decision has been met;
THE DECISION of the Decision Makers under the Legislation is that the Filer is deemed to have ceased to bea reporting issuer or the equivalent thereof under the Legislation.
