Fees
The Ontario Securities Commission (OSC) collects fees as part of ensuring compliance with securities laws. Fees under Ontario’s Securities Act are set out in OSC Rule 13-502 Fees and those under Ontario’s Commodity Futures Act are set out in OSC Rule 13-503 Fees.
There are several types of fees that apply to firms and individuals when they submit most applications to the OSC, such as:
- participation fees
- activity fees (including registration fees)
- late fees
- National Registration Database (NRD) fees
Payment of fees
In general, payment of fees for registration-related filings, such as user fees, annual fees, registration fees, and late filing fees, are made on the National Registration Database (NRD) using Electronic Fund Transfer (EFT).
- for annual participation fee calculation submitted prior to the annual fee process on December 31st, payment will be automatically withdrawn from the firm’s bank account on the first business day in January
- for payment of annual participation fee calculation submitted outside of the annual fee process, payment can be submitted on NRD by referencing the firm’s final annual fee summary submission number
Please refer to the How to Resubmit Fee Payments document on the NRD.
Calculation of fees
Overall regulatory and late fees can require the calculation of various fee components. Please refer to OSC Rule 13-502 Fees for the calculation of regulatory and late fees under Ontario’s Securities Act and OSC Rule 13-503 Fees for calculations under Ontario’s Commodity Futures Act.
EFT-exempt firms
Some firms are exempt from the requirement to pay fees through NRD under part 4 of National Instrument 31-102 National Registration Database. If this is the case, you may pay fees associated with registration-related filings by credit or debit (for electronic submissions made through our electronic filing portal) or wire transfer. EFT-exempt firms can pay annual participation fees by wire transfer. Instructions for each method of payment are as follows:
Credit or debit payments
If you are electronically filing a registration-related form and must pay an associated fee, you may use the credit/debit function on our electronic filing portal.
Please note: debit payments can only be made from accounts held at major Canadian financial institutions.
Wire transfer payments
For instructions on making wire transfer payments, or any other inquiries, please contact the OSC's Contact Centre.
