WHEREASon July 3, 2001 the Ontario Securities Commission (the "Commission")issued a Notice of Hearing pursuant to section 127 of the SecuritiesAct, R.S.O. 1990 c.S.5, as amended (the "Act") in respect ofLivent Inc. ("Livent"), Garth H. Drabinsky ("Drabinsky"), MyronI. Gottlieb ("Gottlieb"), Gordon Eckstein ("Eckstein") and RobertTopol ("Topol");

ANDWHEREAS Staff of the Commission and Drabinsky, Gottlieb,Eckstein and Topol (the "Individual Respondents") request anadjournment of this proceeding to June 12, 2002 at 9:30 a.m.,or such other date as may be agreed to by the parties and fixedby the Secretary to the Commission.

ANDWHEREAS the Respondents Drabinsky and Gottlieb haveeach given an undertaking to the Director of Enforcement ofthe Commission, that pending the conclusion of the proceedingscommenced by the Notice of Hearing dated July 3, 2001 they willnot apply to become a registrant or an employee of a registrant,or an officer or director of a reporting issuer without theexpress written consent of the Director or an order of the Commissionreleasing them from the undertaking.

ANDWHEREAS the Respondent Topol has given an undertakingto the Director of Enforcement of the Commission, that pendingthe conclusion of the proceedings commenced by the Notice ofHearing dated July 3, 2001 he will not apply to become a registrantor an employee of a registrant, or a Chief Executive Officer,Chief Financial Officer or Chief Operating Officer or directorof a reporting issuer without the express written consent ofthe Director or an order of the Commission releasing him fromthe undertaking.

AND WHEREASthe Respondent Eckstein has given an undertaking to the Directorof Enforcement of the Commission, that pending the conclusionof the proceedings commenced by the Notice of Hearing datedJuly 3, 2001 he will not apply to become a registrant or anemployee of a registrant, or a Chief Executive Officer, ChiefFinancial Officer or Chief Operating Officer or director ofa reporting issuer without the express written consent of theDirector or an order of the Commission releasing him from theundertaking.

AND WHEREAScounsel for Livent Inc. consents to this request for an adjournment.

IT IS ORDEREDTHAT the hearing is adjourned to June 12, 2002 at 9:30a.m., or such other date as may be agreed to by the partiesand fixed by the Secretary to the Commission.
